Terms and Conditions

  1. General. These Promotion Rules (“Rules”) apply to the “Online Wade x Stance Spades Tournament promotion” provided by Beach Bum Ltd. (“Beach Bum” or “us”), through its Spades game, available through the Spades application (the “App” and the “Promotion”, respectively). The Promotion is organized by Beach Bum which owns, operates and has all rights in the App. The Promotion is also regulated by Beach Bum Terms of Service located at https://www.bbumgames.com/terms-of-service_allstarpromo (“Terms of Service”).

  2. NO PURCHASE IS NECESSARY IN ORDER TO PARTICIPATE IN THE PROMOTION. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.[

  3. PROMOTION IS VOID WHERE PROHIBITED BY LAW.

  4. Compliance. You agree that in order to participate in the Promotion (including, without limitation, in order to win the Reward), you will fully comply with all applicable laws, regulations, statutes, ordinances and provisions that apply to you and to us, including, without limitation, these Rules, the Terms of Service and any terms and conditions published by any platform through which you are using the App (collectively, “Beach Bum’s Terms”).

  5. Collection of Information. Any collection and processing of personal information as part of or in connection with participating in the Promotion is subject to and governed by our Privacy Policy https://www.bbumgames.com/privacy-policy.

  6. User’s Representations and Obligations. In order to participate in the Promotion, each user (“User” or “you”) hereby represents and warrants that he/she has full right and authority to participate, has read and agrees to be unconditionally bound by these Beach Bum’s Terms of Service.

 

Sponsor of the Promotion

The Promotion is sponsored by Beach Bum. We can be contacted at spades_support@bbumgames.com. We will conduct the Promotion substantially as specified in these Rules.

 

Eligibility for Participation in the Promotion

  1. Eligibility. In order to take part in the Promotion you must (a) be at least at the age of majority in your state of residence at the time of the entry; (b) be eligible under applicable law to participate in the Promotion; and (c) comply with Beach Bum’s Terms of Service. Employees, officers and representatives of Beach Bum and/or any promotion agencies, sponsors and reward suppliers (if any) which are directly involved in the administration, development, fulfillment and execution of the Promotion, as well as their immediate family (spouse, parents, siblings and children) are not eligible to participate in the Promotion, unless otherwise will be permitted by Beach Bum, from time to time, and solely to the extent that such permission is in accordance with any and all applicable laws.

  2. Proof of Eligibility. You may be asked at any time to provide us or our designated third party with proof of your age and/or identity and/or residency and you must, on demand, be able to present valid documentation which may enable us to verify your age, residency and/or identity to the reasonable satisfaction of our security team. If you are unable to provide satisfactory documents, we may exclude you from the Promotion and may withdraw any privileges or awards that have been allocated to you without compensation of any kind. You hereby irrevocably waive any claims or rights in connection with any such exclusion and/or withdrawal.

 

How to Participate in the Promotion

  1. Promotion Period. The Promotion shall commence on February 1, 2019 and shall continue until February 4, 2019 (“Promotion Period”).

  2. Entering the Promotion. Each User shall automatically have one entry to the Promotion. During the Promotion Period, you can enter the Promotion by using the App and following the links and instructions for gaining additional Promotion entries. Please note that the use of the App, which can be downloaded free of charge, requires an internet connection and a compatible device. Our and/or our affiliates’ systems will be used for determining when the Promotion Period has commenced or concluded.

  3. Free Participation. You may also gain additional Promotion entries without making a purchase by sending an email in English to spades_support@bbumgames.com within the Promotion Period. The subject of the email will be FREE PARTICIPATION REQUEST - Online Wade x Stance Spades TOURNAMENT PROMOTION. The email must contain the User’s full name, address, phone number, email address, date of birth and the name of the Promotion, provided that such valid email is received by us during the Promotion Period. Each valid email received by us during such period will entitle you to receive one entry to the Promotion. Any requests for participation which do not comply with the foregoing may be disqualified or void at our sole discretion and any other form or method for submitting an entry are not valid and may be disqualified.

  4. Our Property. All participation requests are our exclusive property, and none will be acknowledged or returned. Proof of sending or submission will not be deemed to be proof of receipt by us and our records that any email was received or not will be binding on the parties and you will have no claims against us for any requests which were not received by us, for any reason whatsoever, or which were received before or after the Promotion Period. Each email address may only refer to one entry into the Promotion.

  5. Number of Entries. You may not use multiple email addresses, accounts or identities or any other method in order to participate more than once. Any use of automated system or any similar method to participate in the Promotion is strictly prohibited and may result in your disqualification. The person to whom the email address was assigned by the applicable operator shall be deemed as the owner of such email address. We may also disqualify, at our sole discretion, any User from the Promotion if he/she has acted in any manner not in compliance with the Terms or Use and these Rules.

  6. Disqualification of Users. If we become aware of any fraud, deceit, misconduct, dishonesty or similar action concerning your participation in the Promotion, of if you acted in a disruptive manner or with the intent to disrupt or undermine the legitimate operation of the Promotion or if you breached any of these Rules, the Terms of Use and/or any additional laws, regulations and rules which apply to your use of the App and/or your participation the Promotion, then (i) we reserve the absolute right to automatically and immediately disqualify you or invalidate your entry, and (ii) we also reserve the right to seek damages and other remedies from you to the full extent permitted by law. If the fraud, deceit, misconduct, dishonesty or other action is only discovered after any applicable reward has been granted to you, then you shall be required, upon demand, to return the same (or provide compensation) to us immediately upon the delivery of our demand to do so.

 

Rewards and Winners

  1. How to Win the Reward. Each User shall automatically receive one entry to the Promotion. An additional entrymay be gained for each win at the All-Star table within Spades Royale   and by sending us an email as detailed in Section 4.3 above. The Reward shall be raffled between all Users who entered the Promotion by the end of the Promotion Period.

  2. Decisions regarding the administration and operation of the Promotion, including, without limitation, the selection of potential winners from all eligible participants are final and binding in all matters related to the Promotion.

  3. Odds. Odds of winning depend, among others, on the number of eligible users participating in the Promotion and your skill in playing Spades.

  4. Rewards. Any rewards granted in the Promotion may not be transferred or substituted except as approved by us at our sole discretion. If a reward, or any portion thereof, cannot be granted for any reason, we reserve the right (but not the obligation) to substitute such reward (or a component thereof) for one of equal or greater value.

  5. Disclaimer. All rewards that may be granted as part of the Promotion are offered “AS IS” without any warranty, either expressly or in an implied fashion, by us or by any third party. Screen shots shall not be deemed as proof of winning status. The Promotion or any part thereof are in no way organized, endorsed or administered by, or associated with, any social network or application store.

  6. Taxes. Any winner in the Promotion shall be responsible for paying all costs and expenses relating to any reward that are not specifically mentioned, including, without limitation, any and all applicable taxes.

  7. Number of Winners. The leaderboard round of the Promotion shall have up to 3 winners. Each of the top three ranked players on the raffle leaderboard will earn a mega coin prize.  The second and final round of the Promotion shall have up to 1 winner. This winner will be randomly selected from among all raffle tickets granted to the entire Spades Royale player base. In the event that one or more of the winners is/are disqualified for any reason, the relevant reward may not be granted, unless otherwise will be resolved by us, in our sole discretion.

  8. Collection of Rewards by Users. If you win a reward and do not accept and collect it within three (3) days since the initial date on which we notified you of such reward, we may withdraw the reward and grant it to an alternate winner. Notwithstanding anything herein to the contrary, no reward will be granted to any User who, for any reason, would not be allowed by applicable law to receive and/or use such reward or where the supply of the reward to that User would be unlawful.

  9. Users’ Consent. Unless legally prohibited in the relevant jurisdiction, participation in the Promotion constitutes each User’s consent that we and/or our agents post or use, in case that he/she wins the Promotion, his/her name, photograph, likeness and/or hometown, state or province for any purpose in any media, worldwide, without any additional payment or consideration, and for such purpose the winner will provide us, a perpetual, unlimited, non-exclusive, royalty free, right and license to use any or all of the foregoing in any manner as determined by us in our sole discretion.

  10. Winners List. In addition, to the extent required by law and if applicable to the Promotion, then following the conclusion of the Promotion, you may receive the winners list upon request, by sending such request to the following email address: spades_support@bbumgames.com under the subject “Request for Winners List”. Such request shall include the name and date of the Promotion.

  11. Notification of Winning. We will notify each winner by sending a notification within the App or as shall be otherwise specified in the App. If a winner cannot be contacted within 72 hours, or if such winner is otherwise disqualified or does not comply with these Rules, such winner will be disqualified and will no longer be entitled to the reward. It is your sole responsibility to notify us in writing if you changed your email address during the Promotion Period.

  12. Disqualification of Winners. If any winner is required by any applicable law and/or these Rules to comply with additional conditions or requirements in order to participate in the Promotion and receive the reward, such winner must fully comply with such requirements within the time set by us before and as a condition to receiving the reward. If a winner is disqualified for any reason, we may award the applicable reward to an alternate winner from among all remaining eligible participants, in our sole discretion.

 

Limitation of Liability

We and/or any party related to us, directly or indirectly, including without limitation, any of our shareholders, directors, officers, affiliates, employees, consultants or agents and/or any platform through which you access the App shall not be liable or responsible for any User’s participation in or attempt to participate in the Promotion or any such User’s ability or inability to upload or download any information in connection with the Promotion and you hereby irrevocably waive any claims, demands, damages and/or liabilities that you and/or anyone related to you may have against any of the foregoing in connection with the Promotion (including any reward), including, without limitation, in case that we may decide, at any time, to cancel, delay or postpone the Promotion. Without derogating from the foregoing, it is hereby agreed that under no circumstance will us and/or any of our shareholders, directors, officers, affiliates, employees, consultants or agent are not and will not, at any time, be responsible for any failures or malfunctions of any kind, including, but not limited to, technical interruptions or disconnections in internet connection or network hardware or software, any incorrect or inaccurate information, undeliverable, late, damaged or stolen mail or any damage caused to persons or property which may be caused, directly or indirectly, in whole or in part, from User’s participation in the Promotion or receipt or use or misuse of any reward.

 

Amendment

We reserve the right, at any time, to alter these Rules in our sole discretion, including to cancel, modify or suspend the Promotion if, in our sole discretion, we believe that the Promotion is not capable of being conducted as specified. Any changes to the Promotion shall be displayed through the App and/or website and your continued participation in the Promotion shall be deemed an acceptance of any proposed changes, modification or alterations. We urge you to review these Rules from time to time.

 

General

  1. Governing Law; Jurisdiction. Any claims or disputes in connection with the Promotion and the construction, validity, interpretation and/or enforceability of these Rules shall be governed by, and construed in accordance with, the laws of the State of Delaware, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the State of Delaware.

  3. Disputes. Except where prohibited, you agree that: (1) any and all disputes, claims and causes of action arising out of or connected with the Promotion and/or any reward awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of Delaware or the appropriate Delaware State Court located in Wilmington, Delaware; (2) process may be served in a manner authorized by applicable law or court rule and you waive all defenses of lack of personal jurisdiction and forum non-convenience; (3) any and all claims, judgments and awards shall be limited only to actual and direct out-of-pocket costs incurred by you as a result of the Promotion, including direct costs incurred by you arising from participation in the Promotion (if any), but in no event will we be pay your attorneys’ fees, any other costs and expenses incurred by you in connection with any legal proceeding; and (4) you hereby waive any and all rights to claim or receive, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
